Welcome to Obsidian Video (https://obsidian.video), part of the GULP Studios LLC and BTS Studios (BTS.NETWORK) ecosystem alongside GULP (https://gulp.wtf). These Terms of Use (“Terms”) govern your use of the Obsidian Video AI Cinema Studio, Non-Linear Editor (NLE), Model Context Protocol (MCP) endpoints, open-source CLI integrations (@obsidianflow), and related services operated by GULP STUDIOS LLC (“we”, “us”, or “our”).

By creating an account, purchasing credits or subscriptions, or using the Service, you agree to be bound by these Terms, including the binding arbitration clause and class action waiver outlined in Section 9. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility and Unified Ecosystem Account

You must be at least 16 years of age to create an account and use the Service. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Your credentials may be authenticated via our unified Firebase Authentication infrastructure shared with GULP. Notify us immediately at help@gulp.wtf if you suspect any unauthorized account access.

2. Subscriptions, Rollover Credits, and Payments

Billing & Credits: Obsidian Video offers both recurring monthly studio plans (Starter, Pro) with rollover generation credits and one-time On-Demand credit packs. By purchasing a subscription or credit pack, you authorize us (or our third-party payment processor, Stripe) to charge the applicable fees and taxes to your designated payment method.

Credit Consumption & MCP Quote-Confirm-Spend: Credits are deducted atomically when an AI generation job is dispatched to an upstream model engine (including Veo 3.1, Seedance 2.0, Kling 3.0, Wan 2.1, Nano Banana 2, Sync Lipsync, or ElevenLabs) or via an authorized MCP agent session.

Cancellation: You may cancel recurring subscriptions at any time via your account settings. Cancellations take effect at the end of the current billing cycle, and no refunds are provided for partially used periods or consumed generation credits.

3. AI-Generated Media & User Content Liability

Your Commercial Rights: Subject to your compliance with these Terms and applicable law, you retain full commercial ownership of the prompts, uploaded reference assets, timelines, and final rendered videos you create on paid plans. Generated takes are archived to our Cloudflare R2 storage infrastructure for your studio access and optional direct publishing to GULP.

Prohibited Content: You agree not to use Obsidian Video to generate, upload, or distribute content that is illegal, non-consensual sexual content, CSAM, defamatory, infringing on third-party intellectual property or likeness rights without authorization, or promoting violence or harassment. We reserve the absolute right to terminate accounts violating these safety rules.

4. DMCA Copyright Notice & Takedown Policy

If you believe that any material hosted on the Service infringes upon your copyright, you may submit a notification under the Digital Millennium Copyright Act (DMCA) (17 U.S.C § 512(c)(3)) to our Designated Copyright Agent at help@gulp.wtf with the subject line "DMCA Takedown Notice".

5. Platform Intellectual Property

All platform code, UI architecture, Frosted Volcanic Glass design elements, presets, logos, and proprietary studio workflows are the exclusive property of GULP Studios LLC (BTS Studios) or its licensors. Open-source packages published under @obsidianflow are governed by the MIT License where explicitly designated.

6. Studio NLE, CLI & Desktop Software ("AS IS" Disclaimer)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OBSIDIAN STUDIO NLE, MCP SERVERS, AND DESKTOP/CLI SOFTWARE ARE PROVIDED ENTIRELY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. GULP STUDIOS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Indemnification & 8. Limitation of Liability

You agree to defend, indemnify, and hold harmless GULP Studios LLC, BTS Studios, and their officers, directors, and affiliates from any claims arising out of your violation of these Terms or your generated content. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Dispute Resolution: Binding ICC Arbitration & Class Action Waiver

Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be referred to and finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) under its Rules of Arbitration. The seat of arbitration shall be Wilmington, Delaware, in English, governed by the laws of the State of Delaware.

Class Action Waiver: YOU AND GULP STUDIOS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
